Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Kovács Milán Barnabás e.v., reg. no. 62257785, tax no. 92020948-1-43, registered in Hungary ("Groxo", "we", "us"), governing your access to and use of the Groxo platform, including the website, applications, and related services (the "Platform"). By creating an account or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Definitions
- "Fan" – a user who discovers, follows, registers for, or purchases tickets to events.
- "Organiser" – a user who creates and lists events, and who is the seller and merchant of record for any tickets sold to those events.
- "Event" – any activity listed on the Platform by an Organiser.
- "Content" – any text, image, or other material submitted to the Platform.
2. Eligibility
You must be at least 16 years old to use the Platform as a Fan. You must be at least 18 years old and have full legal capacity to use the Platform as an Organiser, because Organisers enter into contracts and handle payments. If you are under the age of majority in your country, you may use the Platform only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By registering, you confirm that the information you provide is accurate and that you meet these requirements.
3. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your account, or use another person's account without permission. Notify us immediately at hello@groxo.app if you suspect unauthorised access to your account.
4. Acceptable use
You agree not to use the Platform to:
- Break any applicable law or regulation.
- Post, transmit, or link to content that is unlawful, fraudulent, defamatory, hateful, harassing, threatening, obscene, or that infringes the rights of others.
- Choose or display a username, display name, club name, event name, or other identifier that is offensive, hateful, harassing, deceptive, or that impersonates another person or organisation.
- Impersonate any person or misrepresent your affiliation with any person or organisation.
- Send spam or unsolicited communications, or harvest other users' data.
- Scrape, reverse-engineer, or attempt to gain unauthorised access to the Platform or its systems.
- Circumvent, disable, or interfere with the security or fee-related features of the Platform.
We may remove, rename, or restrict any account, identifier, Content, or Event listing that we reasonably believe violates this section, and we may suspend or terminate accounts under Section 13.
5. Fan conduct
As a Fan, you agree to:
- Use Groxo only for lawful purposes.
- Provide accurate information when registering for events.
- Not transfer registrations to other individuals unless explicitly permitted by the Organiser.
- Comply with the rules and requirements of each Event you attend or participate in.
- Not use the Platform to harass, threaten, or impersonate any person.
6. Organiser responsibilities
Organisers who list Events on Groxo agree to:
- Ensure all Event information (date, venue, price, description) is accurate and up to date.
- Deliver the Event as advertised, or promptly notify and refund registered participants of any material change or cancellation.
- Comply with all applicable laws, including health and safety regulations, event licensing requirements, consumer protection rules, and tax obligations.
- Not list fraudulent, misleading, or non-existent Events.
- As an independent data controller, handle participants' personal data in accordance with the GDPR and applicable privacy laws, and use it only for purposes directly connected to the Event.
Groxo reserves the right to remove any Event listing at its sole discretion if it appears to violate these Terms or to pose a risk to users.
7. Payments, fees, and refunds
The Organiser is the seller and merchant of record for all tickets sold to their Events. The contract for any ticket purchase is between the Fan and the Organiser; Groxo is not a party to it.
Payments are processed by Stripe. By transacting on the Platform, you also agree to Stripe's applicable terms. Groxo does not hold, control, or take custody of ticket funds — ticket payments are settled directly to the Organiser's connected payment account. Groxo's role is limited to providing the Platform and collecting a platform fee for that service.
Groxo charges a platform fee on ticket sales, and may also charge subscription fees for optional features. Platform fees are non-refundable, except where required by law.
Refund and cancellation policies are set by each Organiser, who is solely responsible for issuing refunds and for handling any chargebacks or payment disputes. If you believe you are entitled to a refund, contact the Organiser directly. Groxo may, at its discretion, assist in resolving disputes, but is not obliged to issue refunds and is not liable for an Organiser's failure to do so.
Organisers must not use the Platform to solicit or arrange payment outside the Platform in order to avoid platform fees ("fee circumvention"), which is a material breach of these Terms.
8. Fraud and prohibited commercial conduct
The following are strictly prohibited and constitute fraud:
- Collecting payment for an Event you do not organise, control, or have authority to deliver.
- Listing non-existent, materially misrepresented, or deliberately misleading Events.
- Using another organiser's name, brand, or Event without authorisation.
If we reasonably suspect fraud or a breach of this section, we may, without prior notice and to the extent permitted by law:
- Suspend or terminate the account and remove the Event.
- Withhold, freeze, or reverse payouts and transactions.
- Retain and disclose account, transaction, and identity information (including information verified through our payment processor) to payment providers, affected users, and law enforcement or other competent authorities.
- Take any other action we reasonably consider necessary.
The Organiser remains solely responsible for delivering Events already sold and for all associated refunds, chargebacks, and losses, and is liable to Groxo for any costs, fees, or penalties Groxo incurs as a result.
9. Content and intellectual property
All Groxo branding, design, and original platform content is owned by Groxo and may not be copied or reproduced without written permission. You retain ownership of Content you submit, and you grant Groxo a worldwide, non-exclusive, royalty-free licence to host, display, and use that Content in connection with operating and promoting the Platform. You are responsible for ensuring you hold the rights to any Content you upload and must not upload Content that infringes others' intellectual property. We may remove Content we reasonably believe violates these Terms or the rights of others.
10. Disclaimers
Events. Groxo is a discovery, registration, and ticketing platform. We do not organise, control, or take responsibility for Events listed by Organisers, and we make no warranties about the quality, safety, legality, or accuracy of any Event listing. Attendance and participation are at your own risk.
The Platform. The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose or uninterrupted, secure, or error-free operation.
11. Limitation of liability
To the fullest extent permitted by law, Groxo shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill, arising from your use of the Platform or attendance at any Event. To the fullest extent permitted by law, Groxo's total aggregate liability for any claim arising out of or relating to the Platform shall not exceed the total platform fees you paid to Groxo in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under mandatory consumer-protection law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Groxo and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your use of the Platform; (b) any Event you organise, including its delivery, cancellation, refunds, and compliance with law; (c) any Content you submit; (d) your breach of these Terms; or (e) your violation of any law or the rights of any third party. This obligation survives termination of your account.
13. Suspension and termination
We may suspend or permanently terminate your account, with or without notice, if you breach these Terms, engage in fraudulent or harmful activity, or where we are required to do so by law. You may delete your own account at any time from your settings; upon deletion, your personal data will be handled in accordance with our .
Termination does not relieve an Organiser of obligations to Fans for Events already sold. We may withhold or redirect funds and continue to process refunds or disputes relating to those Events. Provisions that by their nature should survive termination — including Sections 7, 8, 11, 12, and 16 — survive.
14. Changes to these Terms
We may update these Terms from time to time. We will notify registered users of material changes by email or via an in-app notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
15. Governing law and disputes
These Terms are governed by the laws of Hungary. The courts of Hungary have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law gives a consumer the right to bring proceedings in their country of residence. We encourage you to first contact us at hello@groxo.app to seek an informal resolution before bringing formal proceedings.
16. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms constitute the entire agreement between you and Groxo regarding the Platform. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay in performance caused by events beyond our reasonable control (force majeure).
