Organiser Terms
Version: 2026-11. Applies to new users from publication and to existing users from 2026-10-03.
These Organiser Terms apply, in addition to the Terms of Service, to anyone who publishes Events or sells Tickets or Season Passes on Groxo (the "Organiser"). The provider is Kovács Milán Barnabás, sole trader (registered seat: 1204 Budapest, Berzsenyi Dániel utca 3., Hungary; registration no.: 62257785; tax no.: 92020948-1-43; email: hello@groxo.app; "Groxo"). Where the two documents differ, these Organiser Terms prevail for Organisers. Organisers act for business purposes, so consumer protection rules do not apply to them.
1. Acceptance and authority
You accept these Organiser Terms by ticking the box when you choose the Organiser role, and again when you request verification. If you act for a club, association or company, you confirm that you are authorised to bind it; "Organiser" then means that organisation.
2. Verification
Before selling paid Tickets, you must be verified by Groxo. You must provide accurate personal and organisation details, including the full legal name shown to buyers as the seller. The image of your identity document is deleted when the verification decision is made. We may refuse or revoke verification, in particular where details are inaccurate or there are signs of fraud; we tell you why.
3. Stripe account
Payments are processed by Stripe. To sell paid Tickets you must open your own Stripe account through Groxo and accept Stripe's terms, including the Stripe Services Agreement and the Stripe Connected Account Agreement. Your relationship with Stripe is direct: Stripe may review, restrict or close your account under its own terms, and you are responsible to Stripe for your account, including any negative balance. Groxo is not a party to that relationship.
4. Money flow
Buyers pay directly into your Stripe account. Groxo never receives, holds or controls ticket money. Payouts to your bank account follow Stripe's schedule. Groxo cannot withhold, delay, freeze or reverse your payouts.
5. You are the seller
You are the seller of every Ticket and Season Pass you sell; the contract of sale is between you and the buyer. You are responsible for complying with all law that applies to your sales, including information duties to consumers, invoicing and receipt obligations, handling buyer complaints, and tax.
6. Fees
Service fee. The total price buyers pay includes a service fee you charge through Groxo: 10% of the face value, at least 200 Ft per Ticket, on top of your price. The service fee is part of your revenue; out of it you pay Groxo a platform fee of the same amount. Stripe deducts the platform fee automatically from each payment and transfers it to Groxo. Groxo invoices you for platform fees per Event or monthly.
Stripe processing fee. Groxo covers Stripe's standard processing fee for European consumer cards out of its platform fee, so for these payments you receive the full face value. For other card types (for example premium, business or non-European cards), Stripe's additional fee may slightly reduce the amount you receive.
Subscriptions. Optional paid features (Groxo Pro, the sponsor package, Event Boost) are charged separately, under the terms shown when you subscribe.
7. Prices
You set your prices. Once a ticket tier or Season Pass has sold, its price and currency cannot change, so every buyer pays what was advertised.
8. Cancellation and postponement
Cancellation. If you cancel an Event, you must notify buyers without delay and, within 14 days of the cancellation, refund every buyer the full amount they paid, including Groxo's service fee. You issue refunds from your own Stripe account. Groxo does not return its platform fee to you, so the cost of the refunded service fee is yours.
Postponement. If you postpone an Event, you must notify buyers without delay. Tickets remain valid for the new date, and you must refund in full any buyer who asks within 14 days of being notified.
9. Refunds and chargebacks
Beyond section 8, refunds are your decision, in line with the law and any refund policy you advertise. Chargebacks and payment disputes are handled between you and Stripe; you bear the disputed amount and Stripe's dispute fees. Groxo does not return its platform fee on a charged-back payment.
10. Event information and delivery
You must keep your Event information (date, venue, price, description) accurate and up to date, and deliver the Event as advertised. You must not publish fraudulent, misleading or non-existent Events, or Events you are not authorised to organise.
11. Attendee data and data access
Attendee data. You receive buyers' names, email addresses, booking references, ticket counts, amounts paid and check-in status as an independent controller. You may use them only to run the Event, to communicate with buyers about it, and to meet your legal obligations; for marketing only if you obtain separate, lawful consent. You must keep the data secure and delete it once you no longer need it. You are responsible for the check-in staff you invite.
What Groxo can access. Groxo can access all data that you and buyers provide on the Platform and handles it under the Privacy Notice. We do not share your buyers' data with other organisers. We use aggregate statistics without personal data to improve the Platform.
What you can access. You can access attendee data for your own Events, the list of your followers, the list of users who saved your Events as favourites, and aggregate statistics for your Events and sponsors. You can export attendee lists at any time. You lose access when your account ends, so export what you need before then.
12. Ranking
Events are listed in date order; users can narrow the list with the available filters, such as sport or city. Events with a paid Event Boost may be highlighted and shown ahead of other Events while the boost is active; they are labelled "Featured". We accept no other payment for ranking.
13. Groxo's measures
Restriction and suspension. If we reasonably suspect a breach of these Organiser Terms, fraud, or a risk to buyers, we may stop sales for an Event, remove Events, or suspend your account. We tell you the reasons, with the specific facts and circumstances, at the latest when the measure takes effect.
Termination. We may terminate our whole relationship with an Organiser by giving at least 30 days' notice with reasons. We may terminate immediately where the law or an authority requires it, for repeated breaches of these Organiser Terms, or for fraud.
Informing and reporting. We may tell affected buyers how to claim a refund. We may report your account to Stripe and to the competent authorities, including the account, transaction and identity information we hold.
Clarification. You can clarify the facts and contest any measure by emailing hello@groxo.app. We review it within a reasonable time and reverse the measure if your objection is well founded.
14. Liability and indemnity
You are solely responsible to buyers for your Events, including their delivery, cancellation and refunds. You indemnify Groxo against all claims, losses and costs, including reasonable legal costs, arising from your Events, your sales, your Content or your breach of these Organiser Terms.
Groxo is not liable to you for lost profits or indirect losses. Its total liability per claim is limited to the amount Groxo received as platform fees from your Events and from your subscriptions in the 12 months before the claim arose. This limit does not apply to intentional harm, or to breach of contract causing death or harm to body or health.
15. Term and termination
You may stop using Groxo at any time. You cannot delete your account while you have upcoming Events with sold Tickets, cancelled Events with unrefunded buyers, or valid sold Season Passes. Your obligations to buyers for Events already sold survive termination, as do sections 9, 11, 14 and 18.
16. Changes
We notify you of changes to these Organiser Terms by email at least 15 days before they take effect, and longer where the change requires technical or commercial adjustments on your side. If you do not accept a change, you may terminate before it takes effect. Changes never apply retroactively.
17. Complaints
You can send any complaint, including an objection to a measure under section 13, to hello@groxo.app. We examine it carefully and answer in writing within 30 days.
18. Governing law
These Organiser Terms are governed by Hungarian law. Disputes are decided by the Hungarian court with jurisdiction for Groxo's registered seat.
